1. Acceptance of Terms

By accessing or using HoopTistic (the "Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a minor, organization, or institution, you represent that you have the authority to bind that person or entity to these Terms.

2. Description of Service

HoopTistic is a verified basketball recruiting platform that connects players, families, college programs, and coaching professionals. The Service provides tools including profile creation, two-directional compatibility matching (the "HoopTistic Score"), search and discovery, in-platform messaging, and FERPA-compliant transcript request workflows. We prioritize accurate, verified information and do not guarantee any specific recruiting outcome, scholarship, roster placement, or employment result.

3. User Accounts and Registration

To access most features, you must register for an account. HoopTistic supports three user types, each with a tailored profile and experience:

• Player / Family — high school recruits, transfer portal players, parents, guardians, and international student-athletes.
• College Program — Division I, II, and III basketball programs and their staff.
• Coaching Professional — coaches building their network and pursuing career opportunities.

You agree to provide accurate, current, and complete information, to keep it updated, and to maintain the confidentiality of your login credentials. You are responsible for all activity under your account. Accounts for student-athletes under the age of 18 must be created and managed with the involvement of a parent or legal guardian.

4. Subscription Plans and Payments

HoopTistic offers Free, Standard, and Premium subscription tiers. Paid subscriptions are billed on a recurring basis and processed securely through our third-party payment processor, Stripe. We do not store your full payment card details.

• Paid plans automatically renew at the end of each billing cycle unless cancelled beforehand.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Except where required by law, fees already paid are non-refundable for partial billing periods.
• We may change subscription pricing or features, and will provide reasonable notice of material changes.

By subscribing, you authorize us and Stripe to charge your selected payment method for the applicable fees and taxes.

5. User Content and Profiles

You retain ownership of the content, profile information, media, and materials you submit ("User Content"). By posting User Content, you grant HoopTistic a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate and promote the Service. You are solely responsible for your User Content and represent that it is accurate, that you have the rights to share it, and that it does not violate any law or third-party rights. We reserve the right to review, remove, or restrict content that violates these Terms.

6. Privacy and Data Protection

Your privacy matters to us. Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described there.

7. FERPA Compliance

HoopTistic is designed to handle educational records in a manner consistent with the Family Educational Rights and Privacy Act ("FERPA"). Our platform includes a FERPA-compliant digital transcript waiver and request system. Educational records such as transcripts are shared only with your explicit, informed consent (or that of a parent or guardian for eligible students). Coaches and programs may request such records through the Platform, but access is granted only when you authorize it. You may withdraw consent for future sharing at any time, subject to actions already taken in reliance on prior consent.

8. Prohibited Conduct

When using the Service, you agree that you will not:

• Provide false, misleading, or fraudulent information, or impersonate any person or organization.
• Harass, abuse, threaten, or harm other users, or engage in discriminatory conduct.
• Use the Service in any way that violates NCAA, NAIA, NJCAA, or other applicable recruiting or eligibility rules.
• Scrape, harvest, or collect data about other users, or attempt to circumvent security or access controls.
• Upload malware, spam, or unsolicited communications, or interfere with the operation of the Service.
• Use the Service for any unlawful purpose or in violation of these Terms or applicable law.

9. Intellectual Property

The Service, including its software, design, text, graphics, the "HoopTistic" name, the "#HT" mark, logos, and the HoopTistic Score methodology, is owned by HoopTistic LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service without our prior written consent.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. HoopTistic does not warrant that the Service will be uninterrupted, error-free, or secure, and we make no guarantee regarding recruiting, scholarship, roster, or employment outcomes. We are not responsible for the conduct, content, or representations of any user. To the fullest extent permitted by law, HoopTistic LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total aggregate liability will not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, create risk or legal exposure for us, or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and governing law — will survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Virginia.
